As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide us with everything that we need to complete the project including text, images and other information as and when we need it, and in the format that we ask for. You agree to review our work, provide feedback and sign-off approval in a timely manner too. Deadlines work two ways and you will also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract.
We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavor to meet all the deadlines set but we can't be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we will also maintain the confidentiality of any information that you give us, which shall continue after termination or expiration of this Agreement.
The Client hereby engages Laith Aljunaidy and Laith Aljunaidy agrees to be engaged by the Client to design
the Software in accordance with the specifications attached hereto as Exhibit A.
We will ask questions and talk with you to develop a design brief (an overview of what you are looking to
accomplish with this design).
Research and reference:
We will conduct research focusing on the industry itself, its history, and your competitors.
Sketching:
We will build wireframes and first schetches and will work and focus on building an extraordinary user experience.
Polished Design (Mockups):
We will fill and work on turning our wireframes alive and you will be involved in this step screen by screen if you have
any edits or anything else in mind.
Project handing:
After accepting the designs we sent you, you will be sent a final invoice to pay the final balance, when the final balance
is payed we will release the final source files to you by email, Google drive link (We are only resposable to keep it active
for (14 Days), and we will ask you to give us a review about what and how you think the work was from every single angel.
Laith Aljunaidy shall provide to the Client after the Delivery Date 2 hours of training with respect to the operation of the
Laith Aljunaidy if requested by the Client.
For a period of 90 Days after delivery of the final product, the Laith Aljunaidy shall provide the Client with answers to any
questions or assist in solving any problems with regard to the operation of the Software up to 10 hours free of charge
and billed to the Client at a rate of 99 USD per hour for any assistance thereafter. The Laith Aljunaidy agrees to respond to
any reasonable request for assistance made by the Client regarding the Software within 3 Days of the request.
If the Design as delivered does not conform to the Exhibit, the Client shall within 28 days of the Delivery Date
notify Laith Aljunaidy in writing of the ways on which it does not conform with the Specifications. Laith Aljunaidy agrees
that upon receiving such notice, it shall make reasonable efforts to correct any non-conformity.
The Client shall provide to Laith Aljunaidy written notice of its finding that the Design conforms to the Exhibit
within 14 days of the Delivery Date (the “Acceptance Date”) unless it finds that the Design does not conform to the
Specifications as described in Exhibit A herein.
We know from plenty of experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your first idea about how something should look, or how it might work. We don't want to limit your options or your opportunities to change your mind.
We will work closely with you to provide a set of revisions to make sure we are both happy with the final product. Acceptable revisions throughout this engagement are:
• Unlimited Changes to overall design after submission of page. This is includes the overall page layout and style.
•Minor changes like color, font size, padding, margin, and small placement changes to elements can be submitted at anytime, and you will not be charged.
•If you agreed to a concept we sent you of a design / flow / idea exc. we made. A charge for it will be applied upon our universal pricelist
The quoted price/s at the beginning of this document is a fixed price based on the number of days that we estimate we'll need to accomplish everything you have told us you want to achieve. If you have a change of mind, want to add extra pages or templates or even add new functionality, that won't be a problem. Any changes or additions that you would like to be made outside of the spectrum specified in this contract should be submitted in writing. After receiving a formal request, you will be provided with a quote for said changes. Such changes will be charged at the agreed upon price per screen and will not exceed the agreed screen price.
No changes will be made without your approval and sign off.
During the performance of this contract or at anytime we provide services to you our universal pricelist will be the same price we quoted to you in the proposal.
Deposit and final payment
A percentage will be deducted from the invoice if full payment is made upfront.
If full payment is not appropriate, then a minimum of %75-%50 is usually required.
This is routine, and has unfortunately been born through necessity.
The final balance is due toward completion of the project when the work has been approved.
Only when the final payment has been received, any requested digital files will be released.
Only on the is final payments, the full rights to the work will be transferred.
If the final payment was NOT payed, we reserve the right to decide either to take one or more or all of these actions:
Take over a percentage of the company we agree to.
Take Back all the project rights and take down any work we've done for your company.
Take a legal counsel.
This is routine, and has unfortunately been born through necessity.
Payment required to secure project
I can only secure this project into my schedule on receipt of the deposit.
If there is any kind of delay at this point, other projects may take priority.
This is not to pressure you in any way, it’s just so you know where you stand in terms of scheduling.
Once deposit is received, I will forward on a receipt of the payment.
Then be in touch with getting further information in preparation for the start of the project.

As this is a significant investment for you, please let me know if you have any concerns or problems

Cancellation during the project
If you choose to cancel the project midway through the project, where ideas and proposals have
been submitted, refund of previous payment is not possible. However, depending on the work
completed and overall budget, a portion of the funds ‘mayʼ be returned.
If we fall ill, or we are unable to complete the project due to unforeseen circumstances, a portion of the
overall budget will be returned. In most cases the complete amount will be refunded. If any works,
so far completed, can be used for another designer to pick up, then a percentage will be refunded
based on work completed or any other reasonable suggestion will be con
Project suspension
We sincerely request that you trust us to do the job you are paying us to do. That you will take on
board our suggestions, and ideas, to be in your best interests.
We are not art-workers, and therefore, We will not tolerate any form of micro-managing, or forced art
direction during the development of the project.
We reserve the right to suspend any project if a client: interferes with excessive micromanaging,
demonstrates a continued lack of trust and inability to move forward after showing more than
a four or more unique ideas/concepts, and/or shows reluctance in paying the final payments.
Fair notice will be given with fair chance to remedy the situation without resorting to project
suspension or termination. Any suspension, or termination, will not result in any refunds and all
designs and work thus developed remain the full ownership of Laith Aljunaidy
Ownership & copyright
All preparation material, sketches, visuals including the digital files used to create the project
remain the property of Laith Al-Junaidy. The final artwork/digital files will become the property
of the client mentioned in this proposal ONLY upon the final payment of the project.
If final payment is NOT received as agreed, and set out in the initial proposal, al designs and
concept will remain the property of Laith Al-Junaidy until payment is received.
If there are issues with final payment, I reserve the right to reuse or amend any of these ideas
for other clients, or to be used freely as concepts in my portfolio.
Should the client attempt to use/modify/alter/replicate or steal any of my ideas without making
agreed final payment, i will take an immediate legal counsel.
Laith Al-Junaidy reserves the right to show any artwork, ideas, sketches created for this project in a
portfolio as examples of client work. This can be during the project, and also on completion.
If you have any specific ‘secrecy/sleath modeʼ requirements, please mention before agreeing to the
proposal.
Final payment ensures that ONLY the agreed design becomes the clients property. Any
previous ideas/concepts remain the property of Laith Al-Junaidy, unless any prior agreement has
been made.
You promise that:
(a) You own the rights to use anything you give me (“Client Content”)
(b) using such Client Content does not violate the patent, copyright, trade secret or other property
right of any person, firm or entity. You grant me a nonexclusive, nontransferable license to use,
reproduce, modify, display and publish the Client Content solely in connection with my work for you
under this Agreement and my limited promotional uses as allowed by this Agreement. You also affirm
and represent that this Agreement does not conflict with any other contract, agreement or
understanding to which you are a party.
You own the graphics and other visual elements that we create for you for this project.
We will give you a copy of all files and you should store them really safely as we are not required to
keep them or provide any native source files that we used in making them.
You also own text content, photographs and other data you provided, unless someone else owns them.
We love to show off our work and share what we have learned with other people, so we also reserve
the right to display and link to your completed project as part of our portfolio and to write about the
project on web sites, in magazine articles and in books about web design.
Rights For Logo Designs:
If the work We are doing for you includes the design of a logo, we give you the full rights to use the
logo design we create in any and all media without restrictions of any kind. Additionally, we agree that
after you pay me in full, we will cooperate with you and execute any additional documents reasonably
requested by you to evidence such assignment of rights.
Trademark & copyright
You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other
artwork that you provide us for inclusion in the web site are either owned by your good selfs,
or that you have permission to use them.
Due to the lengthy and often costly procedures required to initiate any form of Trademark,
Copyright and legal name search, I am unable provide any practical help with this.
If you require the work to be registered as a trademarked, then you must seek proper legal advice.
Brand naming
You take full responsibility for ensuring that the company/product/name is legally free/available
before work is started. Should any legal issue arise with the naming after the project has been
completed, no refunds are possible, neither am I legally responsible for any problems thus arising.
Please ensure the name you are using is free and legally safe to use before committing to a logo
project.
Project name changes during a project are exceptionally costly, and challenging to implement,
and cause significant delays.
If a change of name is required mid-way during a project, and significant logo exploration work
has already been presented, then I will have no choice but to recalculate the total cost of the
project, to allow for the reworking involved. In some cases this can be as much as double the initial
agreed cost.
Please ensure that the name you are using has been: subject to appropriate checks, is not in use
by someone else, and/or infringes on any other registered trademark, business name etc.
Security
Just like a parking ticket, you cannot transfer this contract to anyone else without our permission.
This contract stays in place and need not be renewed. If for some reason one part of this contract
becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document
under exclusive jurisdiction of Kingdom of Jordan courts.
Errors
We can't guarantee that the functions contained in any web page templates or in a completed web
site, Brand will always be error-free and so we can't be liable to you or any third party for damages,
including lost profits, lost savings or other incidental, consequential or special damages arising out
of the operation of or inability to operate this web site and any other web pages, even if you have
advised us of the possibilities of such damages.
We offer free fixing for the errors unless the error was caused of a request from your side.
If you are unhappy about the progress of the project, feel we are not finding an appropriate angle,
then please discuss this with me. I would encourage you to call rather than email, I am very easy
going and even easier to talk to.
It is crucial that we are both completely clear about the objectives and aims before commencing.
